Terms of Service

Last updated: April 19, 2026  ·  Effective: April 19, 2026

These Terms of Service ("Terms") form a legal agreement between Altus Labs LLC ("Monolith," "we," "us," or "our") and the business or individual ("you" or "Customer") accessing or using the Monolith platform. By using any Monolith product, you agree to these Terms.

1. The Platform

Monolith is a cloud-based business operations platform comprising:

  • Monolith CRM — customer relationship management, field service dispatch, invoicing, payments, inventory, and automation.
  • Monolith Connect — VoIP calling, SMS/RCS messaging, shared inboxes, IVR, call recording, and voicemail.
  • Monolith Docs — document creation, editing, collaboration, and PDF generation with CRM data merge.
  • Moli — the AI assistant built into each product.
  • Monolith Platform — the shared identity, billing, provisioning, and API layer underlying all products.

Together, these are referred to as the "Services." Products you have not subscribed to are not part of your agreement.

2. Beta Program

The Monolith Beta is a limited-access pre-release program. By participating:

  • You acknowledge the Services are under active development and may have incomplete features, bugs, or unexpected behavior.
  • You understand that no service level agreement (SLA) applies during the Beta period. Uptime, support response times, and data availability guarantees are not contractually committed.
  • You agree that feature sets, pricing, and terms may change before general availability (GA). We will give you advance notice before any billing begins.
  • Your data, account configuration, and settings will carry forward when Beta transitions to GA unless you choose not to continue.
  • Monolith may discontinue or modify the Beta program at any time with reasonable notice.

3. Accounts and Access

3.1 Account Registration

To use the Services, you must create an account with accurate, complete information. You are responsible for maintaining the security of your credentials. Notify us immediately at support@monolith.cx if you suspect unauthorized access to your account.

3.2 Users and Administrators

Your subscription allows you to invite users to your tenant. Your account administrator controls user permissions and access levels. You are responsible for all actions taken by users under your account. Each user must agree to these Terms before accessing the Services.

3.3 Organization Accounts

If you register on behalf of a business, you represent that you have authority to bind that business to these Terms, and that your agreement creates a binding obligation on the business.

4. Subscriptions and Payment

4.1 Billing

Subscription fees are billed through Stripe. By providing payment information, you authorize Monolith to charge the applicable fees on the billing cadence you select. All fees are in USD unless otherwise stated.

4.2 No Surprise Charges

Beta participants will not be charged without advance notice. We will notify you of pricing at least 14 days before your first charge and give you the opportunity to cancel before billing begins.

4.3 No Long-Term Commitment

Monolith does not require minimum commitments, annual contracts, or cancellation fees. You may cancel your subscription at any time. Access continues through the end of your current paid period.

4.4 Usage-Based Charges

Certain features — including telephony minutes, SMS/RCS message volumes, phone number provisioning, and AI feature usage — may carry usage-based charges in addition to base subscription fees. We will disclose applicable usage rates before you enable such features.

4.5 Taxes

Prices do not include applicable taxes. You are responsible for all taxes, duties, and levies imposed by any governmental authority in connection with your use of the Services, excluding taxes based on Monolith's income.

4.6 Failed Payments

If a payment fails, we will attempt to notify you and retry. If payment is not resolved within 14 days, we may suspend access to the Services until the balance is settled.

5. Acceptable Use

5.1 Permitted Use

You may use the Services for lawful business operations consistent with the purpose for which they are designed. You may not use the Services to:

  • Violate any applicable law, regulation, or third-party right.
  • Send unsolicited commercial communications (spam) to individuals who have not given consent.
  • Transmit calls or messages to numbers on the Do Not Call Registry without a valid exemption.
  • Conduct robocalling, auto-dialing, or predictive dialing campaigns that violate the TCPA or applicable state laws.
  • Harvest, scrape, or collect data from other users or the platform without authorization.
  • Attempt to gain unauthorized access to other tenants' data or Monolith's systems.
  • Introduce malware, viruses, or harmful code into the Services.
  • Resell, sublicense, or white-label the Services without our written permission.
  • Use the Services to facilitate illegal activity, including fraud, money laundering, or unauthorized access to third-party systems.

5.2 Communications Compliance

When using Monolith Connect, you are solely responsible for:

  • Obtaining legally compliant opt-in consent from contacts before sending marketing SMS messages.
  • Honoring opt-out requests (STOP keywords) immediately. Monolith processes these automatically, but you must not attempt to circumvent them.
  • Complying with the TCPA, CAN-SPAM Act, and any other applicable federal, state, or international communications laws.
  • Complying with A2P 10DLC requirements and maintaining accurate brand and campaign registration information. Providing false registration information may result in immediate carrier blocking and suspension of your Connect service.
  • Notifying call participants of recording where required by law. Multi-party call recording laws vary by jurisdiction; you are responsible for determining and following the rules in your operating area.

5.3 Payment Compliance

When processing payments through Monolith CRM's Commerce module, you are responsible for complying with applicable payment card industry standards and regulations relevant to accepting payments from your customers. Monolith does not store raw payment card data; card processing is handled by Stripe under their own terms and PCI DSS compliance program.

6. Customer Data

6.1 Ownership

You retain all ownership rights in the data you and your users input into the Services ("Customer Data"). Monolith does not claim ownership of Customer Data.

6.2 License to Process

You grant Monolith a limited, non-exclusive license to process Customer Data solely to provide the Services and related support. This includes transmitting data to sub-processors (such as Twilio, Telnyx, Anthropic, OpenAI, and Resend) as necessary to deliver features you have enabled.

6.3 Your Responsibilities

You are responsible for the accuracy and legality of Customer Data, including ensuring you have the right to upload and process any personal information belonging to third parties (such as your customers and contacts). Monolith is a data processor with respect to the personal data of your customers; you are the data controller.

6.4 Data Isolation

Customer Data is isolated to your tenant. No other Monolith customer can access your data. Monolith staff access Customer Data only when required to provide support or investigate a security incident, and only with appropriate authorization.

6.5 Data Export

You may export your Customer Data at any time through the available export tools in the platform. During the Beta period, export tools are available for core CRM data (accounts, contacts, jobs, invoices). Additional export formats and scopes will be added prior to GA.

7. Intellectual Property

7.1 Monolith IP

All software, designs, trademarks, documentation, and other materials comprising the Services are the intellectual property of Altus Labs LLC or its licensors. These Terms do not transfer any ownership rights to you. You receive only the limited right to use the Services as described here.

7.2 Feedback

If you submit ideas, suggestions, or feedback about the Services, you grant Monolith a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.

8. Third-Party Integrations and Services

The Services rely on third-party providers including but not limited to Stripe, Twilio, Telnyx, Google Cloud (Firebase, Cloud Storage), Anthropic, OpenAI, Resend, OnlyOffice, and Cloudflare. Your use of features powered by these providers is also subject to their respective terms of service and privacy policies. Monolith is not responsible for the actions, availability, or content of third-party services.

QuickBooks integration is planned and will be subject to additional terms when released.

9. Service Availability and Modifications

9.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Services, particularly during the Beta period. We perform maintenance that may temporarily affect availability and will endeavor to schedule it during low-traffic periods.

9.2 Modifications

We may add, modify, or remove features at any time. We will notify you of changes that materially reduce the capabilities of a feature you actively use, with at least 30 days' notice where commercially practicable.

9.3 No SLA During Beta

Uptime SLAs and associated credits will be offered at GA. During the Beta period, no SLA applies and no credits are issued for downtime.

10. Confidentiality

Each party may receive confidential information from the other. "Confidential Information" means non-public information that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure.

Each party agrees to: (a) protect the other's Confidential Information with at least the same care used to protect its own confidential information (no less than reasonable care); (b) use Confidential Information only for purposes of this agreement; and (c) not disclose Confidential Information to third parties without prior written consent, except as required by law.

11. Suspension and Termination

11.1 Termination by You

You may cancel your account at any time through your account settings or by contacting support@monolith.cx. Access continues through the end of your current paid billing period. We do not issue prorated refunds for partial periods except where required by law.

11.2 Suspension or Termination by Monolith

We may suspend or terminate your access if:

  • You violate these Terms, including the Acceptable Use provisions.
  • Your account is used for illegal activity or causes harm to third parties.
  • Your payment is delinquent for more than 14 days after notice.
  • Continuing to provide the Services would expose Monolith or its customers to legal, regulatory, or reputational risk.

Where possible, we will give you notice before suspension and an opportunity to cure. Immediate suspension without notice may occur for severe violations such as spam abuse, fraudulent activity, or security threats.

11.3 Effect of Termination

Upon termination, your access to the Services ends. We will retain your Customer Data for 90 days after termination, during which you may request an export. After that period, we will delete your data in accordance with our Privacy Policy.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. THIS DISCLAIMER IS ESPECIALLY APPLICABLE DURING THE BETA PERIOD.

MONOLITH DOES NOT PROVIDE LEGAL, TAX, FINANCIAL, OR COMPLIANCE ADVICE. YOU ARE RESPONSIBLE FOR ENSURING YOUR USE OF THE SERVICES COMPLIES WITH ALL APPLICABLE LAWS, INCLUDING TELECOMMUNICATIONS, PAYMENT PROCESSING, AND DATA PROTECTION REGULATIONS.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MONOLITH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

IN NO EVENT SHALL MONOLITH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS OPPORTUNITIES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE ABOVE LIMITATIONS APPLY TO THE EXTENT PERMITTED BY LAW.

14. Indemnification

You agree to indemnify, defend, and hold harmless Monolith and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Customer Data; (c) your violation of these Terms; (d) your violation of any third-party right; or (e) your communications activities, including any TCPA violations, unauthorized messaging, or non-compliant call recording.

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Wyoming, without regard to conflict of law principles. Any dispute arising from these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, with proceedings conducted in Sheridan County, Wyoming. You waive any right to participate in a class action lawsuit or class-wide arbitration against Monolith.

Notwithstanding the above, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent irreparable harm.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email at least 30 days before the changes take effect. Continued use of the Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you may cancel your account before the effective date.

17. General Provisions

  • Entire Agreement. These Terms, together with our Privacy Policy and any order forms or addenda, constitute the entire agreement between you and Monolith regarding the Services.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions continue in full force.
  • Waiver. Failure to enforce any provision does not constitute a waiver of future enforcement rights.
  • Assignment. You may not assign these Terms or your account without our prior written consent. Monolith may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure. Monolith is not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, government actions, internet outages, or third-party service failures.
  • No Agency. These Terms do not create any partnership, joint venture, employment, or agency relationship between the parties.
